need help with this contract



ive agreed to do a review for tech nibble on a tech pakage that we are curious on i need to sign this for to recieve iot can anyone see any reason i could get screwed by sighning it i only want to review and thats it



COVENANT
NOT TO COMPETE

I. Introduction

I agree as follows:

II. Background

A. I understand that Windows Renew is in the business of providing business and marketing advice and material to other individuals and companies associated with the information technology industry.

C. I agree that this covenant represents Windows Renew's and my entire agreement and that this supersedes any prior oral or written covenants not to compete. Furthermore, I agree that this covenant may not be modified except in writing signed by both parties.

D. I agree that if any term or provision of this covenant is found to be unenforceable or void, in whole or in part, then the offending term must be construed as valid and enforceable to the maximum extent permitted by law, and the balance of this covenant will remain in full force and effect.

III. Promises and Covenants


I acknowledge that as a public critic and reviewer I am in a position of trust with Windows Renew and that Windows Renew relies on me to act in accordance with my responsibilities to Windows Renew. I also acknowledge that in performing my review, Windows Renew will divulge to me confidential and proprietary trade secrets such as customer leads, business relationships, techniques, forms, material and methods, sources of supply, costs and pricing information that are of a critical nature to Windows Renew. In exchange for the consideration provided for in this covenant, the access to confidential and proprietary trade secrets, I make the following reasonable promises solely intended to protect Windows Renew's legitimate competitive business interests:

A. I agree that during my contract with Windows Renew, I will not engage in a related or competing business or activity nor will I distribute anything containing similar ideas or material to anyone without Windows Renew’s exclusive written consent. I further agree to use my best efforts to promote a fair review of Windows Renew’s products. I agree not to use my contract with Windows Renew to establish personal business relationships or contacts with Windows Renew clients to solicit and contract future business with any person, firm, government, or corporation contrary to this covenant upon the completion of my contract with Windows Renew.

B. This paragraph applies to the contractor and any other person(s), firm, corporation, association, government, or other entity acting in concert with the Contractor subsequent to the Contractor's termination.

After my termination, I acknowledge and agree that my knowledge of "confidential information and materials" gained from my contract and owned by Windows Renew would permit me to unfairly compete against Windows Renew. To ensure that any future competition between Windows Renew and myself is fair, I agree to refrain from each of the following anticompetitive acts:

1. I will not, for a period of ten years following the termination of my contract, directly or indirectly, call on, cause to be called on, solicit, or assist in the solicitation of any person, firm, government, or corporation who is a client or account of Windows Renew on the date of the termination of my contract or any such entity with whom Windows Renew was in the process of soliciting to establish business relations.

2. I will not, for a period of ten years after the termination of my contract, engage in any pursuit that is in competition with Windows Renew.

3. I will not, during my contract and for a period of ten years following the termination of my contract, employ, solicit, or seek to employ, either directly or indirectly, any person who is employed by Windows Renew or was employed by Windows Renew at the time my contract with Windows Renew is terminated.

C. I understand and acknowledge that my service to Windows Renew and the information disclosed to me during my contract are of a unique and special character and that any breach of the above paragraphs will cause Windows Renew irreparable injury and immeasurable damage. Consequently, Windows Renew will be entitled, in addition to all other remedies available to it, to injunctive and equitable relief to prevent a breach and to secure the enforcement of this covenant. I further understand that injunctive relief may be granted on a finding that I am or may be violating any provision of this covenant immediately on the commencement of any such action without notice to me, WHICH NOTICE I SPECIFICALLY WAIVE.

D. I agree to reimburse Windows Renew for all actual costs, including reasonable attorney fees, which may be incurred by Windows Renew in the enforcement of this covenant.

E. I understand that any future employer or any business I own may be additionally liable for damages arising out of the wrongful solicitation and hiring of contractors of Windows Renew or the wrongful solicitation and/or contracting with any of Windows Renew’s clients contrary to this covenant.

IV. Dispute Resolution

A. I acknowledge that it is appropriate and I agree that Pennsylvania law governs the construction and enforceability of this covenant and that any court action permitted by this covenant may be filed and maintained only in a state or federal court sitting in the State of Pennsylvania having proper jurisdiction.

B. For my benefit and the benefit of Windows Renew, except for injunctive relief that Windows Renew may pursue in court, I agree that any controversy or claim arising out of or relating to the meaning, interpretation, or application of this covenant, or contract generally, must be resolved only by submission to final and binding arbitration in Allegheny County, Pennsylvania, in accordance with the Contract Dispute Resolution Rules of the American Arbitration Association.

V. Covenant Not to Compete Accepted


I acknowledge that I read this covenant and that I was free to negotiate its terms. Also, Windows Renew encouraged me, if I so chose, to seek a legal opinion concerning this covenant.

This is from a guy who cannot sustain a business model for ten weeks, let alone ten years.

I'd happily sign it and have absolutely no compunction about giving a realistic appraisal on whatever material Ryan offers forward. He's made not a single reference as to what documentation/information this covenant actually applies to.

If he tries to enforce it, tell him you got the information from marketmetoolkit.com to which this contract makes no reference, it'll be the same stuff.

The guy can't even differentiate between the alphabetical, numerical and roman sub-structuring. It's all over the place!
 
Why on Earth are we giving this Bozo any screen time at all?? Right from his first post it was obvious who and what he was! I cannot recall ever seeing a similar post going on for as long as this guy's without being canned and banned. IMHO,anyone who signed that drivel he calls a contract needs some serious education. To me...sounds like another bottom-feeding,funds re-allocating tosser looking for some easy marks. That's my review anyway!! :cool:
 
You know, I was thinking about it and tas might be right. Although I suggested it before, I'm thinking it's not a good idea to give his package any kind of stamp of approval or even a stamp of "it's not a complete ripoff". We all know that Ryan seems to be a businessman of dubious character and has abandoned customers in the past, some on this very forum. He is offering a service, a turn key business for every Joe Schmoe to become a pizza tech, and it directly competes with many of us real businessman that have put time hours and actual work into building our own businesses.
 
I stopped reading about half way though. YOU CANT COMPETE that is where I stopped. I would not waste time reading the rest just because of those words.

I was approached by a national company that had a contract where you can't compete with them. I would not mind, however, they can't warranty how many calls\clients they would bring me. So at the end of a week, if I only had one call then I would starve to death. NO WAY JOSE that is what I say. I should read the rest of the contract but that line tells me that there would be more like it.

I cannot recall ever seeing a similar post going on for as long as this guy's without being canned and banned.

The reason I haven't been banned is because I haven't actually done anything wrong on this forum except defend myself against all of the false accusations being made about me and my product.

I am not leaving this forum because I am none of the things you are all accusing me of. I am sticking it out until my name is cleared and you all give me a fair chance to be part of the community.

Two members on here will be reviewing my material in the coming days and posting reviews. After it is settled that my package is not a "scam" we can all move on to more productive things that this board was intended for like discussing new technical and marketing strategies.
 
If this man was good at what he does he would not have to sell his solution.
Then again I would not trust any man or animal who comes out of Pittsburgh. Its a place of nightmares where cops are dragged through the streets from the back of poorly made American cars and mothers eat their young.

But i digress, yes you should definitely sign this document cause as anyone can tell you people from Pittsburgh are legally and financially unable to have legal recourse with people outside Pittsburgh. It would be great to read your review of what this man is selling "i use the term loosely".
 
I'll sign your contract and review your package Ryan, I promise I will be objective in my appraisal and I will publish freely and publicly my honest opinions. Of course you or anyone else would be at liberty to question or rebuke what I might say. I absolutely promise that I would not disclose any information that you could legitimately claim to have intellectual rights over.

You really have nothing to lose, if your package is even half-as-good as your marketing suggests then I would say it would be a bargain to just about all of us on Technibble. Here you have a ready market of thousands of techs, the really could be the golden market opportunity you've been striving for over the past few years.
 
i signed off on this but also made following statements
1 i will give a honest opinion to my findings be it good or bad
2 i will not be placed under a gaging order under any circumstances BUT i also agree to not share any confidential info about the product in question

in accepting this application you agree to my conditions and that failure to adhere to them Will render the agreement NULL AND VOID

What does everyone want, need to know? I'll go over everything from his last package, from what I've seen it is almost word for word what he has now. But I aint signing S***.

Ryan, when are you going to be contacting all of the people who bought your previous package? When are we going to get an apology for screwing us over? I put a lot of time and effort to get the "back end" set up the way I needed it and lost a lot of customer information because of you.

iptech, thank you for offering your assistance. I have two individuals already setup reviewing my system now and I imagine they will post their thoughts and opinions in a day or two.

lward1, I apologize. When I sold the company, the new owner agreed to keep everything up and running without interruption. That did not happen, which is one of the reason why I purchased the company back. I'd be happy to set you up with access to the administration system again and if their is anything I can do to assist you with your company, please PM me and we can setup a phone meeting.
