Random Lockup in Windows XP and Windows 7.

I have a whitebox desktop pc that I'm doing video editing on. The computer has a MSI MS-6702E motherboard with a AMD Athlon 64 processor 3500+ 2200mhz. It has 1gb of ram, with a Seagate ST380013A (80Gb) hard drive. This system has been running excellent now for about 3-4 years. The original owner was using it light duty until he wanted me to edit videos and put them on dvd. I had (am having) doubts to weather this system can handle the heavy loads being put on it. Well anyway, the graphics card that was in it originally was not capable of handling the heavy loads. I purchased an Asus AH3650 quiet AGP graphics card for it. It has 512mb of onboard ram. I installed it approx. 4 weeks ago, and up until recently the system was working fine. Now, under unexpected loads or sitting idle, the system will just lock up. It originally had Windows XP Pro, so I decided to change to Windows 7 due to the fact that the card was so new, I figured new operating system would result in better reliability. Well it doesn't. I work on computers and am certified in pc repair, and this one has me stumped a little. The only thing that I can possibly see is the graphics card is bad, the power supply is going out (which is a 450 Watt - minimum is 350), or the hard drive is having small issues and is causing the lockup. I updated the motherboard to the newest bios update and that hasn't resulted in any improvement. The system can run for hours and have no problems, or it can lock up. I have to manually hold the power button and wait, then reboot. The system will then work fine. I left the bios to do a full memory check and it seems to post just fine.

ANY help will be of much assistance

P.S. I checked the system temps and all of them are fine. I have loaded all the updated drivers.
 
Run memtest for memory, check the hd with manufacturers diag software, pop another psu in, just a few things that are easily and typically done during the diagnosis of a potential failure...
